The essay highlights a set of usually neglected basic properties that the governance of firms should have in common with any other legal entity in a modern constitutional democratic order, synthesized in 10 attributes of ‘principled governance’: ‘legal entity’, ‘societas’,‘ responsibility’, ‘public interest’, ‘constitutionality’, ‘democracy’, ‘knowledgeability’, ‘multiplicity’, ‘thirdness’, and ‘ purposefulness’. All these principles are justified in terms of the classic organizational effectiveness criteria: efficiency, effectiveness (decision quality), and equity (justice), using contrbutions from organizational and constitutional political economics, organization theory and contract and corporate law.
